Overview:
Spirit AeroSystems designs and builds aerostructures for both commercial and defense customers. With headquarters in Wichita, Kansas, Spirit operates sites in the U.S., U.K., France and Malaysia. Responsibilities:
  • Supporting the preparation of various SEC filings, including 10-Ks, 10-Qs and certain 8-Ks, including the process for marking exhibits for confidential treatment
  • With attorney oversight, prepare Section 16 filings related to director and executive officer equity ownership and have familiarity with beneficial ownership rules and other securities matters
  • Support annual shareholder meeting process, including preparation of proxy statement, management of D&O questionnaire process, annual board, committee, and director self-assessments, and coordination of proxy solicitor, transfer agent, proxy mailing activities, meeting logistics, and agendas
  • Manage distribution of certain public company board materials and maintenance of board materials portal
  • Entity management
  • Assist with creation, maintenance and dissolution of entities worldwide and manage those activities
  • Prepare written consents, resolutions, certifications, minutes, powers of attorney and other corporate documentation as needed for domestic and foreign subsidiaries
  • Update and maintain database of historical, stock, officer, director and other corporate information for all subsidiaries
  • Draft jurisdictional certificates of authority and certificates of withdrawal
  • Manage corporate agents and outside counsel that the company engages within and outside the United States
  • Evaluate the needs for and directs all aspects of domestic corporate qualifications and registrations for applicable businesses
  • Coordinate with corporate agents to evaluate the needs for annual returns, foreign qualifications, business licenses and other governmental filings as necessary to comply with local, state and national requirements for business operations
  • Prepare and file registration, annual report and qualification documents
  • Coordinate with finance, tax and accounting departments as needed
  • Engage, direct and oversee work of corporate agents and vendors
  • Work with other internal departments to answer questions regarding subsidiary management
  • Assist with administration of the company’s insider trading policies and distributing reminder emails at the open and close of trading windows
  • Provide support on special projects (e.g. debt and equity financings, M&A, strategic investments)
  • Coordinate and manage electronic data rooms for due diligence
  • Organize, distribute, and file transaction documents
  • Provide drafting, research and organizational assistance as needed
  • Think proactively and implement process improvements, and suggest new methods to improve internal experiences and legal team productivity
  • Assist with the implementation and operation of legal software solutions and other tools, including contract management system, status reports, task tracking and project management tasks
  • Maintain corporate subscriptions and memberships
Qualifications:

Preferred Qualifications

  • Associate’s Degree or Bachelor’s Degree in related field of study
  • Experience with Diligent Board Management is a huge plus
  • Expert proficiencies in Excel, Access, and Word
